Terms and conditions

This is a translation for your convenience. Only the German version is legally binding.

1. Scope

These terms apply to all services provided by Memnoora e.U., Hütteldorfer Straße 167, 1140 Wien (hereinafter “we”) under the brand GSM Websolutions, in particular the design and creation of websites, the setup of domains, hosting and email, and of Google Business Profiles. Deviating terms of the client only apply if we agree to them in writing.

2. Quote and conclusion of contract

Every order is based on our written quote (email is sufficient) stating the scope of services and the fixed price. The contract is concluded when the client accepts the quote. Services not mentioned in the quote can be offered separately on request.

3. Scope of services and revision rounds

The scope results from the chosen package or the quote. The included revision rounds cover changes to texts, images and design within the agreed scope. A revision round is one collected set of feedback from the client on a preview, which we then implement together. Requests beyond this (e.g. additional pages or features) are quoted at a fixed price before implementation.

We write the texts based on the information the client provides in our questionnaire. The client provides photos, or we use royalty-free images. During the first 30 days after go-live we answer questions and fix errors in our work free of charge; later changes are made on request and charged by time spent.

4. Client's cooperation

The client provides the content needed for the website (e.g. logo, photos, details of services) in good time and approves drafts promptly. The client warrants that they hold the rights to the content provided. If a project is delayed because content or approvals are missing, deadlines are postponed accordingly.

5. Prices and payment

The fixed price stated in the quote applies. All prices are fixed prices in euros including 20% VAT. Unless agreed otherwise, 50% of the price is due when the order is placed and 50% on completion before go-live, in each case within 14 days of the invoice date.

6. Domain, hosting and third-party providers

Domain, hosting and email mailbox are ordered in the name and for the account of the client from World4You Internet Services GmbH or the agreed provider. The contract exists directly between the client and this provider, whose terms and prices apply. We accept no liability for outages or changes at third-party providers (e.g. host, Google).

7. Acceptance

On completion we provide the client with a preview. The work is deemed accepted when the client approves the go-live or uses the website.

8. Rights of use and reference

Once payment has been made in full, the client receives the right, unlimited in time and place, to use and change the website or have it changed. With the client's consent, we may name and show the website as a reference.

9. Legal texts

We draft the legal notice and privacy policy as a basic framework based on the client's information. This is not legal advice. The client is responsible for the accuracy and completeness of the legal texts; we recommend having them checked by a qualified body (e.g. the Austrian Chamber of Commerce).

10. Warranty and liability

The statutory warranty provisions apply. Towards businesses, we are only liable for intent and gross negligence; this does not apply to personal injury. Towards consumers, the provisions of the Austrian Consumer Protection Act (KSchG) apply without restriction.

11. Right of withdrawal for consumers

Consumers can withdraw from a contract concluded at a distance (e.g. by email or phone) within 14 days without giving reasons. If the consumer expressly requests that we start work before the end of this period, a proportionate fee is payable for services already provided.

12. Final provisions

Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for businesses is Vienna. Should any provision be invalid, the remaining provisions remain unaffected.
